The Corporate Affairs Commission (CAC) has warned that it will begin cracking down on companies whose business letters fail to meet statutory disclosure requirements, with enforcement kicking off on August 1, 2026.
The commission made this known in a public notice signed by its management and shared via its official X (formerly Twitter) handle on Wednesday.
What the law requires
Under the Companies and Allied Matters Act (CAMA) 2020, every registered company is required to include specific details on its business letters — a requirement that extends beyond formal correspondence to cover invoices, quotations, and other business documents.
These mandatory details include:
The company’s registered name and registration number
Directors’ current forenames (or initials) and surnames
Any former forenames or surnames used by directors
The nationality of every non-Nigerian director
Enforcement timeline
According to the CAC, the crackdown will focus on strict compliance with Sections 304(1), 304(2), and 304(1)(c) of CAMA 2020.
“Commencing the 1st day of August 2026, the Commission shall enforce the full application of the requirements of sections 304(1) & (2) and (1)(c) of the Act with respect to company business letters with attendant sanctions for non-compliance,” the commission stated.
The CAC further reminded businesses of their obligation to display, in legible characters, the required director information alongside the company’s name and registration number on all official letters.
Call for compliance
The commission urged companies to act swiftly and update their documentation ahead of the deadline to avoid penalties once enforcement begins.
It added that the move reflects its broader commitment to “transparency, accountability and customer satisfaction” as part of efforts to build a more resilient and responsive corporate regulatory environment
